Network Rail is a non-profit company in the United Kingdom that owns the assets of the former state railway company British Rail. Network owns the entire infrastructure, consisting of tracks, signals, tunnels, bridges, railroad crossings, and most stations, but not the rolling stock. Network Rail acquired Railtrack's £ 500m equipment on October 3, 2002, a subsidiary of the Railtrack Group, which has been in liquidation since October 2001 .

The company has the corporate form of a company limited by guarantee. It is privately operated, but has no share capital. Instead of shareholders appear guarantor; in the case of Network Rail, these are mostly public corporations. Any profits will be reinvested in the expansion or renewal of the facilities.
